General Terms of Use<\/h1>

1. Your Agreement<\/h2>

1.1<\/strong> The Broadway Team App (‘The Broadway Team’) is operated by Broadway’s Best LLC, a New York incorporated company. Please read these terms of use (\u201cthis Terms of Use\u201d) carefully before using The Broadway Team App and the services offered by Broadway’s Best LLC, its affiliated companies (together, \u201cThe Broadway Team\u201d) or the third-party operators (the \u201cOperator\u201d) through the Broadway Team Platform (the \u201cServices\u201d). \u201cYou\u201d and \u201cyour\u201d when used in this Terms of Use includes:<\/p>

(1) any person who accesses the Broadway Team Platform<\/p>

(2) persons for whom you make a booking or reservation of the Services<\/p>

1.2 Role Disclosure \u2013 Agency Relationship<\/strong><\/p>

Our Role as Agent<\/p>

The Broadway Team acts solely as an intermediary and booking agent for tours, activities, attractions, experiences, and third-party attraction admissions (\u201cServices\u201d).<\/p>

We act as an intermediary providing booking services for third-party attraction admissions. The admission component is fulfilled by authorized suppliers.<\/p>

We do not operate, manage, control, or directly provide the Services or admission inventory.<\/p>

All Services, including admission rights, tickets, vouchers, and entry fulfillment, are provided, issued, and fulfilled by independent third-party operators, authorized suppliers, or attraction providers (\u201cOperators\u201d), where applicable.<\/p>

The Operator or authorized supplier is solely responsible for the provision, fulfillment, performance, admission validity, safety, and delivery of the Services.<\/p>

Nothing in these Terms of Use creates a partnership, joint venture, reseller, ownership, or merchant relationship between The Broadway Team and any Operator or authorized supplier.<\/p>

2. Change of Terms of Use<\/h2>

2.1 The Broadway Team Modifications<\/strong><\/p>

2.1.1<\/strong> The Broadway Team reserves the right, at its sole discretion, to change or modify any part of this Terms of Use at any time without prior notice. You should visit this page periodically to review the current Terms of Use to which you are bound. If The Broadway Team changes or modifies this Terms of Use, it will post the changes to or modifications of this Terms of Use on this page and will indicate at the bottom of this page the date on which this Terms of Use was last revised.<\/p>

2.1.2<\/strong> Your continued use of The Broadway Team Platform after any such changes or modifications constitutes your acceptance of the revised Terms of Use. If you do not agree to abide by the revised Terms of Use, do not use or access or continue to use or access The Broadway Team Platform and\/or the Services. It is your responsibility to regularly check The Broadway Team Platform to ascertain if there are any changes to this Terms of Use and to review such changes.<\/p>

2.1.3<\/strong> In addition, when using the Services, you shall be subject to any additional terms applicable to such Services that may be posted on the page relating to such Services from time to time, the privacy policy (the \u201cPrivacy Policy\u201d) from time to time. All such terms are hereby expressly incorporated by reference in this Terms of Use.<\/p>

3. Electronic Communications<\/h2>

By using the Platform, creating an account, or making a booking, you agree to receive communications from The Broadway Team electronically, including:<\/p>

booking confirmations<\/p>

service notifications<\/p>

operational updates<\/p>

legal notices<\/p>

Electronic communications satisfy any legal requirement that such communications be in writing.<\/p>

4. Age Requirement<\/h2>

You must be at least 18 years old to create an account or make bookings on the Platform.<\/p>

If you are under 18 years old, a parent or legal guardian must make the booking on your behalf and agrees to be responsible for the booking and for compliance with these Terms of Use.<\/p>

5. Access and Use of the Services<\/h2>

5.1 Ownership of Content<\/strong><\/p>

5.1.1<\/strong> The Broadway Team Platform, the domain name (www.broadwayteamnyc.com<\/a>), (www.thirdpage.nycbroadwayteam.com<\/a>), subdomains, features, contents and application services (including without limitation to any mobile application services) offered periodically by The Broadway Team in connection therewith are owned and operated by Broadway’s Best.<\/p>

5.2 Provision and Accessibility of Services<\/strong><\/p>

5.2.1<\/strong> Subject to these Terms of Use, The Broadway Team provides access to the Platform as an agent only, facilitating bookings for Services offered and provided by Operators.<\/p>

The Broadway Team does not set prices, control availability, issue vouchers, determine cancellation or refund eligibility, or deliver the Services.<\/p>

5.2.2<\/strong> The Broadway Team does not guarantee that the Services will always be available or uninterrupted. The Broadway Team will not be liable to you if for any reason the Services are unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to the Services. You are also responsible for ensuring that all persons who access the Services through Internet connection are aware of this Terms of Use and other applicable terms and conditions for the Services, and that they comply with them.<\/p>

5.2.3<\/strong> If you link to The Broadway Team Platform, they may revoke your rights to so link at any time, at The Broadway Team’s sole discretion. The Broadway Team reserves the right to require prior written consent before linking to their Platform.<\/p>

5.3 Contracting Party and Merchant of Record<\/strong><\/p>

The Broadway Team is not the merchant of record, merchant of service, issuer of admission inventory, or provider of the underlying attraction, experience, or event, except solely for any separate service or booking fees expressly identified at checkout.<\/p>

When you make a booking through The Broadway Team Platform, your contract for the provision of the Services is directly with the relevant Operator, not with The Broadway Team.<\/p>

The Operator is the merchant of record and is responsible for:<\/p>

pricing and availability<\/p>

voucher issuance<\/p>

cancellations and refunds<\/p>

taxes and service delivery<\/p>

The Broadway Team is not a party to the contract for the Services and acts solely as booking agent.<\/p>

6. The Broadway Team Platform and Content<\/h2>

6.1 Use of the Content<\/strong><\/p>

6.1.1<\/strong> All materials displayed or performed on The Broadway Team Platform including but not limited to text, data, graphics, articles, photographs, images, illustrations, video, audio and other materials (\u201cContent\u201d) are protected by copyright and\/or other intellectual property rights. The Broadway Team Platform and the Content are intended solely for your personal and non-commercial use of the Services and may only be used in accordance with Terms of Use.<\/p>

6.1.2<\/strong> If The Broadway Team agrees to grant you access to their Platform and\/or the Content, such access shall be non-exclusive, non-transferable and limited license to access The Broadway Team Platform in accordance with this Terms and Use. The Broadway Team may, at its absolute discretion and at any time, without prior notice to you, amend or remove or alter the presentation, substance or functionality of any part or all of the Content from The Broadway Team Platform.<\/p>

6.1.3<\/strong> You shall abide by all copyright notices, trademark rules, information, and restrictions contained in The Broadway Team Platform and the Content accessed through The Broadway Team Platform, and shall not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes whatsoever The Broadway Team Platform or the Content or third party submissions or other proprietary rights not owned by you without the express prior written consent of the respective owners, or in any way that violates any third party rights.<\/p>

6.2 The Broadway Team’s Liability for the Platform and Content<\/strong><\/p>

6.2.1<\/strong> The Broadway Team cannot guarantee the identity of any other users with whom you may interact with in the course of using The Broadway Team Platform. The Broadway Team cannot guarantee the authenticity and accuracy of any content, materials or information which other users or the Operators may provide. All Content accessed by you using The Broadway Team Platform is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.<\/p>

6.2.2<\/strong> Under no circumstances will The Broadway Team be liable in any way for any Content, including but not limited to any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with the use of or exposure to any Content posted, emailed, accessed, transmitted, or otherwise made available via The Broadway Team Platform.<\/p>

6.3 Sort Order<\/strong><\/p>

6.3.1<\/strong> We provide sorting and filter settings for you to adapt the search results to your preferences using criteria such as availability, price recommendations, Services\u2019 popularity, Services\u2019 reviews or other criteria. We continually optimize The Broadway Team Platform to provide you the best experience and may test different default sort order algorithms from time to time.<\/p>

6.3.2<\/strong> From time to time, Operators may also have access to promotional programs (which may involve higher commission or other commercial arrangements) to improve their search ranking or visibility on The Broadway Team Platform. Any participating listings will be indicated as \u201cSponsored\u201d or with a similar label.<\/p>

7. Intellectual Property Rights<\/h2>

7.1 Intellectual Property<\/strong><\/p>

7.1.1<\/strong> All intellectual property rights subsisting in respect of The Broadway Team Platform belong to The Broadway Team or have been licensed to The Broadway Team for use on The Broadway Team Platform. This Platform, the Services and the Content are protected by copyright and other intellectual property rights as collective works and\/or compilations, pursuant to applicable copyright laws, international conventions, and other intellectual property laws. You undertake that:<\/p>

(a) You shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any part of The Broadway Team Platform and the Content, software, materials, or the Services in whole or in part;<\/p>

(b) You shall only download or copy the Content (and other items displayed on the Platform or related to the Services) for personal and non-commercial use only, provided that you maintain all copyright and other notices contained in such Content; and<\/p>

(c) You shall not store any significant portion of any Content in any form. Copying or storing of any Content other than personal and non-commercial use is expressly prohibited without prior written permission from The Broadway Team or from the copyright holder identified in such Contents copyright notice.<\/p>

8. User Submissions<\/h2>

8.1 Uploading of Information<\/strong><\/p>

8.1.1<\/strong> In the course of accessing The Broadway Team Platform or using the Services, you may provide information which may be used by The Broadway Team and\/or the Operators in connection with the Services and which may be visible to other users of the Platform. You understand that by posting information or content on The Broadway Team Platform or otherwise providing content, materials or information to The Broadway Team and\/or the Operators in connection with the Services (\u201cUser Submissions\u201d):<\/p>

(a) You hereby grant to The Broadway Team and the Operators a non-exclusive, worldwide, royalty free, perpetual, irrevocable, sub-licensable and transferable right to use and fully exploit such User Submissions, including all related intellectual property rights subsisted thereon, in connection with providing the Services and operating The Broadway Team Platform and it’s business, including but not limited to the promotion and redistribution of part or all of the Services and derivative works thereof in any media formats and through any media channels;<\/p>

(b) You agree and authorize The Broadway Team to use your personal data in accordance with the Privacy Policy in effect from time to time;<\/p>

(c) You hereby grant each user of The Broadway Team Platform a non-exclusive license to access your User Submissions through The Broadway Team Platform, and to use, modify, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Platform and under this Terms of Use;<\/p>

(d) You acknowledge and agree that The Broadway Team retains the right to reformat, modify, create derivative works of, excerpt, and translate any User Submissions submitted by you. For clarity, the foregoing license grant to The Broadway Team does not affect your ownership of or right to grant additional non-exclusive licenses to the material in the User Submissions, unless otherwise agreed in writing;<\/p>

(e) You hereby represent and warrant that any content in your User Submission (including but not limited to text, graphics and photographs) do not infringe any applicable laws, regulations or any third party rights; and<\/p>

(f) That all the User Submissions publicly posted or privately transmitted through The Broadway Team Platform is the sole responsibility of you and that The Broadway Team will not be liable for any errors or omissions in any content.<\/p>

9. Users Representations, Warranties and Undertakings<\/h2>

9.1 Use of The Broadway Team Platform and the Services<\/strong><\/p>

9.1.1<\/strong> You represent, warrant and undertake to The Broadway Team that you will not provide any User Submissions or otherwise use the Platform or the Services in a manner that:<\/p>

(a) Infringes or violates the intellectual property rights or proprietary rights, rights of publicity or privacy, or other rights of any third party; or<\/p>

(b) Violates any law, statute, ordinance or regulation; or<\/p>

(c) Is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable; or<\/p>

(d) Involves commercial activities and\/or sales without The Broadway Team\u2019s prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes; or<\/p>

(e) Constitutes libel, impersonates any person or entity, including but not limited to any employee or representative of The Broadway Team; or<\/p>

(f) Contains a virus, trojan horse, worm, time bomb, or other harmful computer code, file, or program.<\/p>

9.2 Removal of User Submissions<\/strong><\/p>

9.2.1<\/strong> The Broadway Team reserves the right to remove any User Submissions from this Platform at any time, for any reason including but not limited to, receipt of claims or allegations from third parties or authorities relating to such User Submission or if The Broadway Team is concerned that you may have breached any of the preceding representations, warranties or undertakings, or for no reason at all.<\/p>

9.3 Responsibility for User Submissions<\/strong><\/p>

9.3.1<\/strong> You remain solely responsible for all User Submissions that you upload, post, email, transmit, or otherwise disseminate using, or in connection with, The Broadway Team Platform.<\/p>

9.3.2<\/strong> You acknowledge and agree that you shall be solely responsible for your own User Submissions and the consequences of posting or publishing all of your User Submissions on The Broadway Team Platform. You represent, warrant and undertake to The Broadway Team that:<\/p>

(a) You own or have the necessary rights, licenses, consents, releases and\/or permissions to use and authorize The Broadway Team to use all copyright, trademark or other proprietary or intellectual property rights in and to any User Submission to enable inclusion and use thereof as contemplated by the Platform and this Terms of Use; and<\/p>

(b) Neither the User Submissions nor your posting, uploading, publication, submission or transmittal of the User Submission or The Broadway Team\u2019s use of the User Submissions, or any portion thereof, on or through the Platform and\/or the Services will infringe, misappropriate or violate any third party\u2019s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law, rule or regulation.<\/p>

9.3.3<\/strong> You are responsible for all of your activity in connection with using The Broadway Team Platform and\/or the Services. You further represent, warrant and undertake to The Broadway Team that you shall not:<\/p>

(a) Conduct any fraudulent, abusive, or otherwise illegal activity which may be grounds for termination of your right to access or use the Platform and\/or the Services; or<\/p>

(b) sell or resell any products, services or reservation obtained from or via the Platform;<\/p>

(c) use the Platform for commercial or competitive activity or purposes, or for the purpose of making speculative, false or fraudulent bookings or any reservations in anticipation of demand;<\/p>

(d) Post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any other user of the Platform; or<\/p>

(e) Violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material (including material that may be considered threatening or obscene), or engage in any kind of illegal activity that is expressly prohibited; or<\/p>

(f) Run maillist, listserv, or any other form of auto-responder, or “spam” on the Platform, or any processes that run or are activated while you are not logged on to the Platform, or that otherwise interfere with the proper working of or place an unreasonable load on the Platform\u2019s infrastructure; or<\/p>

(g) Use manual or automated software, devices, or other processes to “crawl,” “scrape,” or “spider” any page of the Platform; or<\/p>

(h) Decompile, reverse engineer, or otherwise attempt to obtain the source code of Platform.<\/p>

9.3.4<\/strong> You will be responsible for withholding, filing, and reporting all taxes, duties and other governmental assessments associated with your activity in connection with using The Broadway Team Platform and\/or the Services.<\/p>

10. Registration and Security<\/h2>

10.1 Opening of The Broadway Team Account<\/strong><\/p>

10.1.1<\/strong> In the course of using the Services, you may be required to open and maintain an account with The Broadway Team (\u201cThe Broadway Team Account\u201d).<\/p>

10.2 Provision of Personal Information<\/strong><\/p>

10.2.1<\/strong> As a condition to using some aspects of the Services, you may be required to register with The Broadway Team and select a password and user name.<\/p>

10.2.2<\/strong> You shall provide The Broadway Team with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Terms of Use, which may result in immediate termination of your The Broadway Team Account.<\/p>

10.2.3<\/strong> You represent that you shall not:<\/p>

(a) Select or use as a name of another person with the intent to impersonate that person; or<\/p>

(b) Use as a name subject to any rights of a person other than you without appropriate authorization.<\/p>

10.2.4<\/strong> The Broadway Team reserves the right to refuse registration of or to cancel a The Broadway Team Account at its sole discretion. You shall be responsible for maintaining the confidentiality of your password.<\/p>

11. Reviews – Further correspondence – Rights to User Content<\/h2>

11.1<\/strong> By completing a booking, you agree to receive confirmation messages (in the form of emails and\/or app notifications), as well as an invitation email(s) or app notification(s) for you to complete our app review form which we will send to you after you finish an activity. Leaving a review is optional. For clarity:<\/p>

The confirmation and app review emails are transactional and are not part of the newsletters or marketing mails, from which you can unsubscribe.<\/p>

The completed app review may be uploaded onto the relevant activity page on The Broadway Team platform within 72 hours of the submission for the sole purpose of informing (future) customers of your opinion of the service (level) and quality of the Activity.<\/p>

Upon submitting a review, your account may be awarded Restaurant Credit, which may be used towards your next booking subject to terms and conditions.<\/p>

Each account may only submit one review per activity booked once or multiple times within the same calendar month.<\/p>

Fraud and abuse will result in the forfeiture of Restaurant Credit. The Broadway Team further reserves the right to deduct any Restaurant Credit directly from your account without prior notice.<\/p>

11.2<\/strong> By posting a review, you grant The Broadway Team the full, perpetual, free, transferable and irrevocable rights to all submitted user content. The Broadway Team reserves the right to translate, edit, adjust, refuse or remove reviews at its sole discretion.<\/p>

11.3<\/strong> You confirm you will comply with these App Review Guidelines. In addition, you represent and warrant that:<\/p>

11.3.1<\/strong> You own and control all of the rights to the user content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute such user content to or through the platform;<\/p>

11.3.2<\/strong> Such content is accurate and not misleading; and<\/p>

11.3.3<\/strong> Use and posting or other transmission of such content does not violate the Terms of Use or any applicable laws and regulations and will not violate any rights of or cause injury to any person or entity.<\/p>

11.4<\/strong> Reviews may not contain obscenities, profanity, inappropriate content, hate speech and offensive content, promotion of illegal conduct, other people\u2019s personal information such as names, phone numbers or email addresses, and irrelevant content such as promotional, invite and reward information. Moreover, reviews may not defame, abuse, harass, or violate the legal rights of others.<\/p>

11.5<\/strong> You further grant The Broadway Team the right to pursue at law any person or entity that violates your or The Broadway Team’s rights in the content by a breach of the Terms of Use. You agree you will be solely responsible for any user content you provide or submit.<\/p>

11.6<\/strong> Content submitted by users will be considered non-confidential and The Broadway Team is under no obligation to treat such content as proprietary information. Without limiting the foregoing, The Broadway Team reserves the right to use the content as it deems appropriate, including, without limitation, deleting, editing, modifying, rejecting, or refusing to post it. The Broadway Team is under no obligation to offer you any payment for content that you submit or the opportunity to edit, delete or otherwise modify content once it has been submitted to the app or its Platforms. The Broadway Team shall have no duty to attribute authorship of content to you, and shall not be obligated to enforce any form of attribution by third parties. Please refer to the Terms of Use on the Platform for more details.<\/p>

12. Booking Confirmation, Tickets, Vouchers, Fees and Payment<\/h2>

12.1 Booking Confirmation<\/strong><\/p>

12.1.1<\/strong> Booking confirmations are generated based on information provided by the Operator. Confirmation timelines are indicative only.<\/p>

12.2 Vouchers, Tickets and Fulfilment<\/strong><\/p>

12.2.1<\/strong> Booking confirmations, vouchers, tickets, admission rights, and entry approvals are issued, fulfilled, and controlled solely by the relevant Operator or authorized supplier. The Broadway Team acts only as booking intermediary and does not issue admission inventory or control entry decisions.<\/p>

12.2.2<\/strong> Use of Vouchers \u2013 To use a voucher, you must comply with the Operator\u2019s requirements, including appearing at the designated meeting point on time and presenting any documents or information required by the Operator (which may include a confirmation number, voucher, or identification). Failure to comply with the Operator\u2019s requirements may result in denied entry or forfeiture, in accordance with the Operator\u2019s policies.<\/p>

12.2.3<\/strong> Identification and Lawful Use \u2013 The Operator may require presentation of valid photo identification as a condition of entry. Vouchers are subject to applicable laws and Operator policies. If a voucher cannot be lawfully used, or is used in violation of legal or eligibility requirements (including age restrictions), the Operator may refuse acceptance in accordance with its policies. The Broadway Team does not issue vouchers and is not responsible for lost, destroyed, or stolen vouchers or confirmation details.<\/p>

12.3 Pricing and Availability<\/strong><\/p>

12.3.1<\/strong> The Terms of Use for each Voucher may vary amongst Operators and any restrictions that apply to the use of such Voucher, including but not limited to a minimum age requirement, will be conveyed to you at the time of booking on The Broadway Team Platform.<\/p>

12.3.2<\/strong> Prices, availability, inclusions, exclusions, and Service conditions are determined exclusively by the Operator. The Broadway Team displays such information strictly as provided by the Operator and does not guarantee its accuracy or completeness.<\/p>

12.3.3<\/strong> Vouchers are admission tickets to one-time events (‘Events’): the date(s) on which a Voucher can be used will be stated on the Voucher. If you do not use your Vouchers on or by the date(s) noted on such Vouchers, except as expressly set forth therein, no refunds will be granted.<\/p>

12.4 Cancelation of Vouchers<\/strong><\/p>

12.4.1<\/strong> You may cancel your Voucher by contacting The Broadway Team customer service within the cancellation period, as stated at the time of booking on The Broadway Team Platform. Cancellation windows vary on a case-by-case basis. A Voucher canceled with the required notice will be subject to and processed strictly in accordance with the applicable Operator\u2019s refund policy, and any approved refund will be issued back to the original payment method used for the booking.<\/p>

12.4.2<\/strong> The Operator, not The Broadway Team, is the offeror of the Services for the Events, to which the Vouchers correspond to, and is solely responsible for accepting or rejecting any Voucher you book or reserve, as related to all such Services.<\/p>

12.4.3<\/strong> Please directly consult with the Operator if you have any enquiries or complaints regarding the Service provided in connection with your Voucher. Except as expressly set forth herein, all amounts paid in connection with bookings are subject to the applicable Operator\u2019s refund and cancellation policies. Prices displayed for Vouchers are stated in the currency shown on The Broadway Team Platform at the time of booking.<\/p>

12.4.4<\/strong> If an Event for which a Voucher has been issued in connection with your booking is canceled by the Operator, The Broadway Team will notify you as soon as reasonably practicable and, acting solely as booking intermediary and limited payment collection agent of the Operator where applicable, will pass on relevant refund or remedy instructions in accordance with the Operator\u2019s policies.<\/p>

12.4.5<\/strong> Restaurant Credit Finality Clause: Upon issuance of any restaurant credit as compensation, settlement, or goodwill adjustment, the guest acknowledges and agrees that any and all rights to cancel, modify, request refunds for, or otherwise claim reimbursement for attractions, Broadway tickets, tours, or other services included in the booking are immediately and irrevocably waived.
